These Terms & Conditions (“Terms”) govern your access to and use of WaZappy (the “Service”), a WhatsApp Business API platform owned and operated by Infrared Techno (“Infrared Techno”, “we”, “us” or “our”). WaZappy is a product of Infrared Techno, made in India. By creating an account, signing up for a trial, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you confirm you are authorised to bind that business to these Terms.

1. The Service

WaZappy provides software on top of the official WhatsApp Business Platform (Meta Cloud API), including a shared team inbox, a no-code flow builder, built-in AI, broadcast & drip campaigns, a WhatsApp catalog with payments, email sending and a developer REST API. WaZappy is an independent software provider and a registered Meta Tech Provider. We are not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. “WhatsApp” and “Meta” are trademarks of their respective owners.

2. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials and API keys, and for all activity that occurs under your account. Notify us immediately at support@wazappy.com if you suspect any unauthorised use.

3. Your WhatsApp Business Account & Meta compliance

You bring your own Meta Business account and phone number. Your WhatsApp Business Account (WABA) and number remain yours at all times. Your use of WhatsApp through the Service is additionally subject to Meta’s terms and policies, including the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy and Meta’s Platform Terms. You are responsible for complying with those policies, obtaining valid opt-in/consent from recipients, and honouring opt-outs. Violations may result in Meta restricting or banning your number, which is outside our control.

4. Acceptable use

You agree not to use the Service to:

• send spam, unsolicited or bulk messages without valid consent, or otherwise violate WhatsApp/Meta policies;
• transmit unlawful, fraudulent, misleading, defamatory, obscene or infringing content;
• harass, abuse, or harm others, or collect data without a lawful basis;
• attempt to reverse-engineer, disrupt, overload, or gain unauthorised access to the Service or its systems;
• resell or white-label the Service except under an agreement expressly permitting it.

5. Fees, billing & taxes

You pay a subscription fee for the WaZappy software according to the plan and billing cycle you select (monthly, quarterly, half-yearly or yearly), plus any add-ons you choose. Fees are stated exclusive of taxes; applicable GST and other taxes will be added and reflected on your invoice. Payments are processed by our payment partners (for example, Razorpay). Subscriptions renew automatically at the end of each cycle unless cancelled in accordance with our Refund & Cancellation Policy.

6. WhatsApp message charges (billed by Meta)

WhatsApp conversation/message charges are billed to you by Meta directly, exactly per usage. WaZappy adds no markup on message charges and does not collect them on Meta’s behalf. Your WaZappy fee covers only the software (plus any add-ons). Message pricing, quality tiers and free-tier allowances are set by Meta and may change.

7. Third-party services

The Service can connect to third-party providers you choose to enable — for example AI providers (Google Gemini, OpenAI, Anthropic Claude, Groq, Mistral, DeepSeek), Google Workspace (Sheets, Calendar, Drive), email senders (SMTP/SendGrid) and payment gateways (Razorpay/UPI). Your use of those services is governed by their own terms, and you are responsible for any keys, credentials, costs and content you provide to them. We are not liable for third-party services’ availability or actions.

8. Intellectual property

The Service, including its software, design, and content (excluding your data and third-party marks), is owned by Infrared Techno and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights to your own content, contacts and message data.

9. Data & privacy

Our handling of personal data is described in our Privacy Policy. For end-customer conversations you process through the Service, you act as the data controller and we act as your processor, handling that data on your instructions to provide the Service.

10. Service availability & support

We work to keep the Service available and reliable, but it is provided on an “as is” and “as available” basis. We may perform maintenance, add or modify features, and impose reasonable usage or rate limits. Support is provided per your plan; you can also reach us on the details below.

11. Suspension & termination

We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us, Meta, or others. You may cancel at any time as described in the Refund & Cancellation Policy. On termination, your right to use the Service ends; we may delete your data after a reasonable retention period unless the law requires otherwise.

12. Disclaimers & limitation of liability

To the maximum extent permitted by law, Infrared Techno disclaims all implied warranties and is not liable for indirect, incidental, special or consequential damages, or for loss of profits, data, goodwill, or message delivery outcomes that depend on Meta or third parties. Our total aggregate liability for any claim is limited to the software fees you paid to us for the Service in the three (3) months preceding the claim.

13. Indemnity

You agree to indemnify and hold harmless Infrared Techno from claims, damages and costs arising out of your content, your messaging, your breach of these Terms, or your violation of WhatsApp/Meta policies or applicable law.

14. Governing law & jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, the courts at Dehradun, Uttarakhand, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new “last updated” date, and where appropriate we will notify you. Continued use of the Service after changes take effect constitutes acceptance.
